PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THE PLATFORM OPERATED BY JULO DESIGNS PRIVATE LIMITED (“JULO,” “WE,” “US,” OR “OUR”). BY ACCESSING OR USING THE PLATFORM, OR BY PLACING AN ORDER THROUGH THE PLATFORM, YOU (“YOU” OR “CUSTOMER”) AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

1. Introduction

1.1. These Terms constitute a legally binding agreement between you and JULO.
1.2. These Terms apply to your use of the Platform and any orders you place for products through the Platform.
1.3. By placing an order, you represent and warrant that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1.4. JULO Designs Private Limited, CIN U18209DL2022PTC406293, has its registered office at Flat No. 109, Narmada Block No. 5, 1st Floor, Sector D, Pocket 6, Vasant Kunj, Delhi – 110070, India.
1.5. These Terms are published in accordance with the Indian Contract Act, 1872; the Information Technology Act, 2000; the Intermediaries Guidelines Rules, 2011; and other applicable laws. They constitute an electronic record and do not require physical or digital signatures.

2. Formation of Contract

2.1. All product listings on the Platform are invitations to treat and shall not be construed as offers.
2.2. By clicking “Order Now,” you submit an offer to purchase the selected products in your cart in accordance with these Terms.
2.3. JULO reserves the right, at its sole discretion, to accept or reject your offer. No contract shall subsist between you and JULO until JULO dispatches the products and issues a dispatch confirmation email.
2.4. An order confirmation email summarizing your purchase details is for your information only and does not constitute acceptance of your offer.
2.5. JULO may cancel or modify any order prior to dispatch for reasons including, but not limited to, product unavailability, pricing errors, or suspected fraudulent activity.

2. How Is a Contract Concluded with You?

2.1. All product listings on the Platform are invitations to treat and shall not be construed as offers.
2.2. By clicking the “Order Now” button, you make a binding offer to purchase the products in your shopping cart pursuant to these Terms.
2.3. JULO may accept or reject your offer, at its sole discretion. Acceptance occurs only upon dispatch of the products and issuance of a dispatch confirmation email.
2.4. An order confirmation email summarizing your order details is provided for your information and does not constitute acceptance.
2.5. JULO reserves the right to refuse or cancel any order prior to dispatch for reasons including, but not limited to, product unavailability, pricing or description errors, or suspected fraudulent or unauthorized activity.

3. Availability of Products

3.1. All products displayed on the Platform are subject to availability.
3.2. JULO reserves the right, at its sole discretion, to limit the quantity of any product, refuse service to any customer, or cancel any order for any reason, including but not limited to stock shortages, errors in product or pricing information, or suspected fraudulent or unauthorized activity.
3.3. In the event that a product you have ordered is unavailable, JULO will notify you promptly and offer either an alternative product, a revised delivery date, or a full refund of any amounts paid for the unavailable product.

4. Prices and Payment

4.1. All prices are stated in Indian Rupees (INR) and include all applicable taxes unless otherwise indicated.
4.2. Payment for products and any applicable shipping charges must be made in full before dispatch.
4.3. Accepted payment methods include credit cards, debit cards, net banking, UPI, wallets, and any other methods displayed at checkout.
4.4. JULO reserves the right to adjust prices at any time; however, price changes will not affect orders for which payment has already been received.

5. Shipping

5.1. Domestic Shipping:
 5.1.1. Processing time: 2–3 business days from order confirmation.
 5.1.2. Delivery time: 5–7 business days, subject to location and carrier delays.
 5.1.3. Cost: Free for all domestic orders.

5.2. International Shipping:
 5.2.1. Processing time: 5–7 business days.
 5.2.2. Delivery time: 25–30 business days, depending on destination and customs clearance.
 5.2.3. Cost: Shipping fees, duties, and taxes are the customer’s responsibility and are displayed at checkout.

5.3. Tracking Information: Tracking details will be shared via email, WhatsApp, or SMS once your order is shipped.

6. Exchange and Return

6.1. Exchange Policy (Within India):
6.1.1. Customers are entitled to a one-time free exchange for size or style within 7 days of delivery.
6.1.2. Eligibility: Items must be unused, unwashed, in original condition, and must include all original tags and packaging.

6.2. Return Policy (Within India):
6.2.1. Customers may return products within 7 days of delivery under the same eligibility criteria as exchanges.

6.3. Refund Policy (Within India):
6.3.1. Refunds will be initiated within 5–7 business days after a successful quality check.
6.3.2. For prepaid orders, refunds will be credited to the original payment method.
6.3.3. For Cash on Delivery (COD) orders, customers must provide valid bank account details during the return process for the refund.

6.4. How to Initiate a Return or Exchange:
Customers can submit a request via our Returns Portal.

6.5. Return / Exchange / Refund Policy (International Orders – Outside India):
6.5.1. No returns, exchanges, or refunds are allowed for international orders.

7. Retention of Title

7.1. Title to the products remains with JULO until full payment has been received by JULO.
7.2. Risk of loss or damage to the products shall pass to you upon delivery at the address specified in your order.

8. Intellectual Property

8.1. All intellectual property rights in the Platform, our products, and all content, including but not limited to trademarks, logos, designs, and images, are owned by or licensed to JULO.
8.2. You agree not to reproduce, distribute, modify, or create derivative works of any such intellectual property without JULO’s prior written consent.

9. Governing Law and Jurisdiction

9.1. These Terms shall be governed by and construed in accordance with the laws of India.
9.2. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Delhi, India.

10. Access Outside India

10.1. The Platform is intended for users accessing from within India.
10.2. Users accessing the Platform from outside India do so at their own risk and are responsible for complying with local laws and regulations.
10.3. JULO reserves the right to restrict access to certain products or services based on geographic location.

11. Limitation of Liability

11.1. To the fullest extent permitted by applicable law, JULO’s aggregate liability for any direct damages shall not exceed the total amount paid by you for the relevant products.
11.2. JULO shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, goodwill, or data.

12. User Obligations

12.1. You represent and warrant that you are at least 18 years of age or have obtained the necessary consent from a parent or guardian.
12.2. You agree to provide true, accurate, and complete information when using the Platform and to update such information to keep it accurate.
12.3. You shall not engage in any unauthorized or fraudulent use of the Platform and shall comply with all applicable laws.

13. Privacy and Data Protection

13.1. JULO processes personal data in accordance with its Privacy Policy, which is incorporated herein by reference.
13.2. By using the Platform, you consent to the collection, use, and disclosure of your personal data as described in the Privacy Policy.

14. Termination

14.1. JULO may suspend or terminate your access to the Platform without notice if you breach these Terms or engage in any unlawful activity.
14.2. Upon termination, all rights granted to you under these Terms shall cease immediately, and you must cease all use of the Platform.

15. Force Majeure

15.1. Neither party shall be liable for any delay or failure in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, acts of war, or governmental actions.

16. Events Beyond Reasonable Control

16.1. JULO shall use all reasonable endeavors to minimize the effects of any event beyond its reasonable control that may affect the performance of its obligations hereunder.
16.2. Events beyond reasonable control include, without limitation, power failures, system failures, telecommunications failures, industrial disputes, and any other unforeseeable event beyond JULO’s control.
16.3. JULO shall not be liable for any resulting delays or failures to perform its obligations to you under these Terms.

17. General Provisions

16.1. Entire Agreement: These Terms, together with any policies or documents incorporated by reference, constitute the entire agreement between you and JULO concerning your use of the Platform.
16.2. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3. Waiver: No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.
